Terms of Use

These Terms constitute a legally binding agreement between you ("User", "you") and WTS Energy Holding B.V. ("Syncdit", "we", "us", "our"), a company registered in the Kingdom of the Netherlands, with its registered office at Koninginnegracht 23, 2514 AB Den Haag, the Netherlands.

Syncdit operates an AI-powered recruitment platform that connects recruitment professionals with talent through intelligent matching, communication, and hiring tools. By accessing or using any part of the Syncdit platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy.

If you are using Syncdit on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

In these Terms, the following definitions apply:

To use the Syncdit Platform, you must:

• Be at least 16 years of age, in compliance with GDPR requirements for the processing of personal data.
• Have the legal capacity to enter into a binding agreement.
• Provide accurate, current, and complete information during registration and throughout your use of the Platform.
• Not have been previously suspended or removed from the Platform for a violation of these Terms.

If you are a Talent User under 18 years old, we recommend that you review these Terms with a parent or legal guardian before using the Platform.

To access most features of the Platform, you must create an account. The following terms apply:

4.1 Registration

• You may register using your email address and a password, or through Google authentication.
• All registration information must be truthful and accurate. Providing false, misleading, or fraudulent information is a violation of these Terms.
• Talent Users and Recruiter Users maintain separate account types. You may not register the same email address for both a Talent account and a Recruiter account simultaneously.

4.2 Account Security

• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You must promptly notify Syncdit of any unauthorized use of your account or any other breach of security by contacting us at support@syncdit.ai.
• Syncdit will not be liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Account Restrictions

• Each individual may maintain only one active account per user type.
• Accounts are non-transferable. You may not share, sell, or assign your account to another person or entity.

Syncdit provides an AI-powered recruitment platform with distinct features for different user types:

5.1 Services for Talent Users

As a Talent User, you may access the following features through the Platform:

• CV Creation & Management: Create, upload, and manage your curriculum vitae using our AI-assisted CV creation tools. Your CV data will be securely stored and used for matching purposes.
• Job Matching: Receive AI-powered job opportunity recommendations based on your skills, experience, and profile data. Matching involves the analysis and comparison of your CV data with available job descriptions.
• Job Opportunity Review: Review, accept, or decline job opportunities presented to you. Access fit analysis reports that explain how your profile aligns with specific roles.
• Talent Talks: Participate in multi-round structured communication with recruiters regarding job opportunities.
• Money Talks: Engage in salary and compensation discussions and negotiations for positions you are being considered for.
• AI Interviews: Participate in AI-facilitated interview sessions, which may include video recording and AI-assisted evaluation.
• Public Job Applications: Browse and apply to publicly listed job postings through our job portal.

5.2 Services for Recruiter Users

Recruiter Users may access tools for job description management, AI-powered candidate matching and sourcing, shortlist creation, client collaboration, interview scheduling, and recruitment workflow management. Recruiter-specific terms may apply and will be provided separately where applicable.

5.3 Service Availability

• Syncdit reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without prior notice.
• We will make reasonable efforts to notify users of significant changes to the Services, but cannot guarantee uninterrupted access to all features at all times.

6.1 Syncdit's Intellectual Property

All technology, software, designs, features, graphics, user interfaces, algorithms, AI models, and content provided by Syncdit (excluding User Content) are the exclusive property of WTS Energy Holding B.V. and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws of the Netherlands and international treaties.

You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works of any part of the Platform or its underlying technology without our express written permission.

6.2 Your Content

You retain full ownership of all User Content you upload or submit to the Platform, including your CV, profile information, and any documents you provide.

6.3 License Grant to Syncdit

By uploading or submitting User Content, you grant Syncdit a non-exclusive, worldwide, royalty-free license to use, store, process, reproduce, and display such content solely for the purposes of:

• Providing, operating, and improving the Services, including AI-powered matching and analysis.
• Generating anonymised, aggregated insights to improve the Platform (no individually identifiable data will be shared without consent).
• Sharing relevant portions of your profile and CV with Recruiter Users in connection with job matching and recruitment processes you have opted into.

This license continues for the duration of your account and terminates upon deletion of the relevant content or your account, subject to our data retention obligations as described in our Privacy Policy.

6.4 Content Accuracy

You represent and warrant that all User Content you submit is accurate, truthful, and does not infringe on the rights of any third party. Syncdit does not verify the accuracy of User Content and is not liable for any inaccuracies in content submitted by users.

Syncdit leverages artificial intelligence and machine learning technologies across its platform. By using the Platform, you acknowledge and agree to the following:

7.1 Nature of AI Outputs

• AI Features provide recommendations, analysis, scores, and insights that are advisory in nature. They are not deterministic and should not be treated as definitive assessments.
• AI-generated match scores, fit analyses, and recommendations are based on algorithmic processing of available data and may not capture all relevant factors.

7.2 No Automated Hiring Decisions

7.3 AI Limitations

• AI outputs may contain errors, inaccuracies, or biases. Syncdit works continuously to improve accuracy and reduce bias but cannot guarantee error-free outputs.
• The quality of AI outputs depends on the quality and completeness of the input data provided by users.
• Syncdit is not liable for any decisions made based on AI-generated outputs.

7.4 Talent User Rights Regarding AI

As a Talent User, you have the right not to be subject to a decision based solely on automated processing that produces legal effects concerning you or similarly significantly affects you, in accordance with GDPR Article 22. For more information on your rights regarding AI and automated decision-making, please refer to our Privacy Policy.

You agree not to engage in any of the following activities when using the Platform:

• Upload, submit, or transmit false, misleading, fraudulent, defamatory, illegal, or harmful content.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party.
• Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or computer systems or networks connected to the Platform.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform.
• Use automated scripts, bots, scrapers, or similar means to access, collect, or interact with the Platform without our express written permission.
• Engage in any activity that discriminates based on race, gender, age, religion, disability, sexual orientation, or any other protected characteristic.
• Attempt to manipulate, interfere with, or circumvent the AI Features, matching algorithms, or scoring systems.
• Use the Platform for any purpose that is unlawful or prohibited by these Terms, or in a manner that could damage, disable, overburden, or impair the Platform.
• Distribute spam, unsolicited communications, or malware through the Platform.

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

By using the Platform, you acknowledge and agree that:

• Syncdit processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and applicable Dutch data protection legislation.
• Your personal data, including CV data and profile information, may be processed using AI and machine learning technologies for the purpose of providing the Services.
• Certain information from your Talent profile may be shared with Recruiter Users in connection with job matching processes you have opted into.
• You have specific rights under the GDPR regarding your personal data, as detailed in our Privacy Policy.

The Platform may integrate with or contain links to third-party services, including but not limited to:

• Authentication providers (e.g., Google) for account login.
• Job board platforms for the distribution and sourcing of job postings.
• Video conferencing tools (e.g., Google Meet) for interview scheduling and facilitation.
• Cloud storage services for secure document storage.

Syncdit is not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is subject to the respective third party's terms and policies. We encourage you to review those terms before using such services.

Access to the Platform for Talent Users is currently provided free of charge. Syncdit reserves the right to introduce fees, premium features, or subscription plans in the future.

• Any introduction of fees or changes to pricing will be communicated to users with reasonable advance notice.
• You will not be charged without your explicit consent.
• Commercial terms for Recruiter Users are governed by separate agreements where applicable.

12.1 Termination by Syncdit

We may suspend or terminate your account and access to the Platform, in whole or in part, at any time and without prior notice, if:

• You breach any provision of these Terms.
• We reasonably believe your conduct may cause harm to other users, third parties, or to Syncdit.
• We are required to do so by law or a regulatory authority.
• We discontinue the Platform or a material part of the Services.

12.2 Termination by You

You may close your account at any time by contacting us at support@syncdit.ai or through the account settings functionality (where available). Upon account closure, we will process the deletion of your personal data in accordance with our Privacy Policy.

12.3 Effects of Termination

• Upon termination, your right to access and use the Platform ceases immediately.
• Provisions of these Terms that by their nature should survive termination will continue in effect, including Sections 6, 7, 13, 14, 15, and 16.
• We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

To the fullest extent permitted by applicable law, Syncdit disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
• Any warranty regarding the accuracy, completeness, or reliability of AI-generated outputs, match scores, or recommendations.
• Any warranty that the Platform will result in employment, hiring, or any particular recruitment outcome for Talent Users.

Syncdit does not guarantee that job matching will lead to employment. The Platform facilitates connections between Talent Users and Recruiter Users, but employment outcomes depend on factors beyond Syncdit's control.

To the maximum extent permitted by the laws of the Kingdom of the Netherlands:

• Syncdit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses.
• Syncdit's total aggregate liability for any claims arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of (a) the total amount paid by you to Syncdit in the twelve (12) months preceding the claim, or (b) one hundred euros (€100).
• Syncdit shall not be liable for any damages arising from (i) your use of or inability to use the Platform, (ii) any decisions made based on AI-generated outputs, (iii) unauthorized access to or alteration of your data, or (iv) any actions of third parties, including other users.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable Dutch law.

You agree to indemnify, defend, and hold harmless WTS Energy Holding B.V., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Platform or Services.
• Your violation of these Terms.
• Your violation of any rights of a third party, including intellectual property or privacy rights.
• Any User Content you submit or upload to the Platform.

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of the Netherlands, without regard to its conflict of law principles.

16.2 Dispute Resolution

• In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiation.
• If the dispute cannot be resolved amicably within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the competent courts of The Hague, the Netherlands.

16.3 Consumer Rights

If you are a consumer within the European Union, you may also be entitled to bring proceedings in the courts of the Member State in which you are domiciled. Nothing in these Terms shall affect your mandatory consumer protection rights under applicable EU law.

Syncdit reserves the right to update or modify these Terms at any time. When we make changes:

• We will update the "Last updated" date at the top of this page.
• For material changes, we will notify you through the Platform, via email, or through a prominent notice on our website at least fourteen (14) days before the changes take effect.
• Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of those changes.
• If you do not agree with the updated Terms, you must discontinue use of the Platform and may close your account as described in Section 12.2.

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Syncdit regarding the use of the Platform and supersede all prior agreements or understandings.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

18.3 Waiver

No failure or delay by Syncdit in exercising any right under these Terms shall constitute a waiver of that right. A waiver of any provision shall not be deemed a waiver of any subsequent breach of the same or any other provision.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Syncdit's prior written consent. Syncdit may assign these Terms, in whole or in part, to any successor in interest or affiliate without your consent.

18.5 Force Majeure

Syncdit shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, labour disputes, power outages, or internet infrastructure failures.
